These Affiliate Program Terms and Conditions (“Terms”) govern your participation in the GenPeptide.com Affiliate Program (“Program”). The Program is operated by Debonaire LLC, doing business as GP Research (“Company,” “we,” “our,” or “us”).
By registering for or participating in the Program, you (“Affiliate” or “you”) agree to be bound by these Terms, as well as our Terms of Service and Privacy Policy. We reserve the right to update or modify these Terms at any time. Continued participation in the Program following any changes constitutes your acceptance of the updated Terms.
1. Program Overview
The GenPeptide.com Affiliate Program allows approved affiliates to earn commissions by referring customers to GenPeptide.com through unique, trackable affiliate links or coupon codes.
Important Notice: GenPeptide.com sells research peptides intended strictly for research use only. By participating in this Program, you acknowledge the nature of our products and agree to represent them accurately at all times.
2. Eligibility and Enrollment
Age Requirement: You must be at least twenty-one (21) years of age and capable of entering into a binding legal agreement.
Registration: You must complete the registration process with accurate information.
Discretion: We reserve the right to accept or reject any application at our sole discretion and may revoke acceptance at any time.
3. Affiliate Links and Tracking
Upon approval, you will receive access to an Affiliate Dashboard containing your unique links, coupon codes, and tracking tools.
Attribution: Tracking is based solely on the Company’s systems and methodologies.
No Guarantees: The Company does not guarantee the accuracy of tracking and is not responsible for untracked referrals due to technical issues, user behavior (e.g., cleared cookies), or third-party interference.
4. Commission Structure
Standard Rate: Affiliates earn a commission of ten percent (10%) of the net sale amount on qualifying transactions.
Net Sale Definition: The purchase total after discounts, coupons, or promotional credits, excluding shipping costs and taxes.
Adjustments: The Company may offer alternative structures or incentives at its sole discretion.
5. Qualifying Transactions
A transaction qualifies for commission only when:
The purchase is made using your valid affiliate link or coupon code.
The transaction is successfully completed and not reversed (refunded, disputed, or charged back).
The transaction is not flagged as fraudulent.
Self-Referrals: Strictly prohibited. You may not use your own link/code for personal purchases or entities you own.
6. Payment Terms
Eligibility Period: Commissions become eligible for payout thirty (30) days after the date of the qualifying transaction.
Minimum Payout: There is no minimum payout requirement.
Methods: Payouts are processed via bank transfer or debit card, as configured in your Dashboard.
Taxation: You are solely responsible for any taxes. The Company may require tax documentation (e.g., W-9) prior to processing payments.
7. Affiliate Conduct and Promotional Guidelines
You must conduct all promotional activities in a lawful, ethical, and non-misleading manner. You must clearly disclose your affiliate relationship per FTC guidelines.
7.1 Prohibited Activities
Spam: Sending unsolicited bulk communications.
PPC Bidding: Bidding on Company brand terms or trademarks without written consent.
Misrepresentation: Making health, medical, or therapeutic claims regarding products.
Imitation: Creating properties that appear to be official Company assets.
Objectionable Content: Promoting content that is unlawful or misleading.
8. Intellectual Property
The Company grants a limited, non-exclusive, revocable license to use approved branding. You may not modify Company intellectual property. Upon termination, all rights to use these materials cease immediately.
9. Term and Termination
The Company may suspend or terminate your participation at any time, with or without cause.
Upon termination, all rights granted cease.
The Company reserves the right to withhold unpaid commissions in cases of policy violations.
10. Limitation of Liability & Warranties
Liability Cap: Total liability shall not exceed the lesser of commissions paid in the preceding 12 months or $100.
“As Is” Basis: The Program is provided without warranties of any kind regarding uninterrupted operation or tracking accuracy.
11. Indemnification
You agree to indemnify and hold harmless the Company from any claims, damages, or liabilities arising out of your promotional activities or violation of these Terms.
12. Confidentiality
Non-public information (commission structures, performance data, etc.) is confidential and may not be disclosed without written consent. This obligation survives termination.
13. Legal Governance
Relationship: No partnership, joint venture, or agency relationship is created.
Governing Law: These Terms are governed by the laws of the State of Indiana, United States.
Dispute Resolution: Disputes shall be submitted to binding arbitration following failed good-faith negotiations.
