These Terms & Conditions (“Terms”) govern your use of GenPeptide.com (the “Website”) and the purchase of products from Debonaire LLC d/b/a GP Research (“Company,” “we,” “us,” or “our”).
By accessing the Website or placing an order, you agree to be bound by these Terms.
1. Eligibility
You must be at least 21 years of age to access this Website or purchase products.
By placing an order, you represent and warrant that:

We reserve the right to refuse service to anyone at our discretion.
2. Research Use Only
All products sold by GP Research are intended strictly for in vitro laboratory research use only.

Any use inconsistent with stated research purposes is strictly prohibited.
3. Regulatory & Compliance
Labeling & RUO. Where applicable, in vitro diagnostic products must be labeled in accordance with 21 CFR Part 809, including §809.10. RUO materials are subject to FDA guidance on the distribution of products labeled for Research Use Only. See references in the footnotes of this page. Proposition 65 (California). If products are sold or shipped to California, warnings may be required under California’s Proposition 65 (Title 27, CCR). Where applicable, GP Research will provide clear and reasonable warnings consistent with current safe harbor methods. You acknowledge your responsibility to implement appropriate warnings at your facility and on downstream labeling if you further distribute products. Institutional Compliance. You are responsible for obtaining any approvals, permits, or certifications required by your institution or jurisdiction (e.g., biosafety, chemical hygiene, import permits), and for ensuring proper handling, storage, and disposal.
4. Assumption of Risk
By purchasing products, you acknowledge and agree that:

You are knowledgeable regarding the safe handling and use of laboratory research materials.

You assume all risks associated with storage, handling, and use of the products.

You are responsible for compliance with all applicable laws and regulations in your jurisdiction.
GP Research shall not be responsible for misuse or improper handling of products.
5. Order Acceptance
All orders submitted are offers to purchase.
We reserve the right to:

Refuse or cancel any order

Limit quantities

Delay shipment for verification

Cancel orders flagged by fraud or risk monitoring systems
An order confirmation does not constitute acceptance until shipment occurs.
6. Pricing and Payment
All prices are listed in U.S. dollars.
We reserve the right to correct pricing errors and cancel orders arising from such errors.
By submitting payment information, you represent that you are authorized to use the payment method provided.
7. Shipping and Risk of Loss
Risk of loss transfers to the customer upon shipment, as further described in our Shipping & Delivery Policy.
Delivery estimates are not guarantees.
8. Returns and Refunds
Returns and refunds are governed by our separate Returns & Refund Policy.
9. Limitation of Liability
To the maximum extent permitted by law, GP Research’s total liability for any claim arising out of or relating to a purchase shall not exceed the total amount paid for the specific order giving rise to the claim.
We shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits or business interruption.
10. Indemnification
You agree to indemnify, defend, and hold harmless Debonaire LLC d/b/a GP Research and its officers, members, employees, and agents from any claims, damages, losses, liabilities, or expenses arising from:

11. Payment Disputes
You agree to contact us directly to resolve any concerns prior to initiating a chargeback or payment dispute.
We reserve the right to dispute fraudulent or improper chargebacks and to provide documentation supporting order fulfillment and delivery.
12. Intellectual Property
All content on the Website, including text, graphics, logos, and product descriptions, is the property of Debonaire LLC d/b/a GP Research and may not be reproduced, distributed, or used without written permission.
13. Prohibited Conduct
You agree not to:

Use products for human or veterinary applications

Misrepresent intended use

Resell products in violation of applicable laws

Use automated systems or bots to access the Website

Scrape, harvest, or misuse Website data
14. Website Use Restrictions
Unauthorized use of the Website may give rise to a claim for damages and/or be a criminal offense.
We reserve the right to restrict or terminate access to the Website at our discretion.
15. Mandatory Binding Arbitration
Any dispute arising out of or relating to these Terms, your use of the Website, or any purchase shall be resolved exclusively through binding arbitration conducted in the State of Indiana.
Arbitration shall be conducted on an individual basis. Class actions, consolidated proceedings, and representative actions are not permitted.
Each party shall bear its own legal fees unless otherwise required by law.
By agreeing to these Terms, you waive the right to a jury trial and to participate in a class action lawsuit.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict-of-law principles.
17. Force Majeure
We shall not be liable for failure or delay in performance due to causes beyond our reasonable control, including natural disasters, carrier disruptions, supply chain interruptions, labor disputes, or governmental actions.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
19. Changes to Terms
We may update these Terms from time to time. Changes are effective upon posting to the Site with an updated “Last updated” date. Continued use of the Site after changes constitutes acceptance.
